How we do things

Brabourne was established by Karina Marcar as a boutique governance consultancy, focusing on boards.

We facilitate board performance reviews and provide related governance services and leadership development. Our experience includes working with several financial services boards, driven by the after-effects of the APRA Prudential Inquiry into the Commonwealth Bank of Australia and by the Royal Commission into Misconduct in the Banking, Superannuation and Financial Services Industry. In addition, we have extensive experience in the not-for-profit / for-purpose sectors, working frequently with registered charities.

Our approach is driven by wanting to understand your organisation, rather than making assumptions about what you need.

Understanding context. 

A board’s operations and interactions need to be understood in the context of the organisation’s goals, strategy and environment.  Our professional experience in other fields is invaluable to understanding the board in context.

Personal attention.

Our board review process is grounded by one-on-one interviews with your directors and senior team, in order to build trust and broad engagement with the process and its outcomes.

An evidence based approach, with a focus on relationships. 

While our approach is based in research, this does not mean it is a checklist process.  Board dynamics and dynamics with management are critical to high performance, including risk systems.

Who we are

Karina Marcar FGIA GAICD, Principal

Karina’s governance and board review experience ranges from the S&P/ASX100 to public institutions, in sectors spanning financial services to infrastructure. She acts also as adviser to the ASX Corporate Governance Council.

Her not-for-profit/for-purpose experience includes advising member-based organisations, disability services providers, research bodies, performing arts companies and government entities.

Karina understands commercial drivers for Australian and multi-national businesses and is financially literate.  She is people-focused and builds trust with interviewees in order to draw out critical themes for organisations.

Karina’s skills working with boards are enhanced by her previous career of over 25 years in corporate and commercial law, including 17 years as a partner of national law firms. At the time of leaving legal practice, Karina was listed as a leading lawyer for Mergers and Acquisitions Law and Corporate Law in Best Lawyers Australia.

Karina is a fellow of the Governance Institute of Australia and a member and graduate of the Australian Institute of Company Directors. She is a member and former director and treasurer of IWF Australia, the Australian chapter of leadership organisation International Women’s Forum.
